These Terms & Conditions ("Terms") govern access to and use of Feedwyre (the "Service"), operated by Feedwyre ("we," "us," "our"). By creating an account or otherwise using the Service, you ("you," "your," or "Customer") agree to be bound by these Terms. If you're using the Service on behalf of an organization, you're agreeing on that organization's behalf and confirming you have the authority to do so.
1. The Service
Feedwyre lets Customers upload, import, or synchronize product catalog data ("Catalog Data") and exposes that data through an authenticated API and related tools, including product lookup and listing, bulk create/update/delete, stock bookings, scheduled database synchronization, downloadable export links, and margin-adjusted child feeds for resale to a different audience.
2. Accounts & registration
- You must provide accurate registration information and keep your password confidential. You're responsible for all activity under your account and API keys, including activity by anyone you share credentials with.
- Each account represents one organization (a "Tenant"). You may not use the Service to store or process Catalog Data on behalf of a third party without our prior written consent, except through the resale mechanism (child feeds) the Service itself provides for that purpose.
- You must be legally able to enter into a binding contract to create an account.
3. Subscriptions & billing
- New accounts start on the Starter plan with a 30-day free trial. No payment method is required to start a trial.
- If a trial isn't upgraded to a paid plan before it ends, the account is suspended (access blocked, data retained) and, after a further grace period, permanently deleted. Current suspension and deletion windows are shown in-product and may be adjusted from time to time.
- Paid subscriptions are billed monthly in advance through our payment processor (Stripe) and renew automatically until cancelled. You can cancel or change your plan at any time from your Account page; cancellation takes effect at the end of the current billing period.
- Usage beyond a plan's included monthly query allowance is billed at that plan's published overage rate rather than blocked.
- Fees are exclusive of taxes unless stated otherwise. Except as required by law or expressly stated in these Terms, fees are non-refundable.
- We may change plan pricing or limits prospectively, with notice for existing paid subscribers before the change takes effect on their next billing cycle.
4. Your data
- You retain all ownership rights in your Catalog Data. We claim no ownership over it and use it only to provide, secure, and support the Service, as described in our Privacy Policy.
- You're solely responsible for the accuracy, legality, and rights to use any Catalog Data you upload, import, or synchronize — including pricing, stock levels, images, and descriptions — and for anything you expose through a downloadable link, an API key, or a child feed.
- You can export or permanently delete your data at any time; account deletion is irreversible and removes every feed, product, key, consumer, and booking associated with it.
5. Acceptable use
You agree not to use the Service to:
- Upload or process data you don't have the right to use, or that infringes a third party's intellectual property or privacy rights;
- Attempt to bypass plan limits, API scopes, or authentication mechanisms, or to probe, scan, or test the vulnerability of the Service or its infrastructure without authorization;
- Use a Database Sync connection, an API key, or any other feature to access systems or networks you don't own or have explicit authorization to access;
- Resell or provide the Service itself (as opposed to your own Catalog Data via a child feed, download link, or API key, which is expressly permitted) to third parties without our written consent;
- Interfere with or disrupt the integrity or performance of the Service, or introduce malware or harmful code.
6. API keys, bookings & stock
- API keys are credentials — you're responsible for keeping them secure and for all requests made with them until revoked.
- A stock "booking" made through the Manage API permanently and atomically decrements the recorded stock of the relevant product. You're responsible for ensuring bookings made through your integrations accurately reflect real transactions; the Service is not responsible for reconciling bookings against any external order or fulfillment system you operate.
7. Suspension & termination
- We may suspend or terminate your access if you materially breach these Terms, including the Acceptable Use section, and don't cure the breach within a reasonable period after notice (or immediately, for serious violations such as unauthorized access attempts).
- You may stop using the Service and delete your account at any time from the Account page.
- On termination, your right to use the Service ends immediately; provisions that by their nature should survive (ownership, disclaimers, limitation of liability) continue to apply.
8. Disclaimers
The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that stock counts, sync results, or margin calculations will be free of defect — you're responsible for verifying critical business outcomes independently, particularly during initial integration.
9. Limitation of liability
To the maximum extent permitted by law, Feedwyre will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising from your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us in the 12 months preceding the claim.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified via the dashboard or by email before taking effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
11. Governing law
These Terms are governed by the laws of the jurisdiction in which Feedwyre is established, without regard to conflict-of-law principles, unless otherwise required by applicable local law.
